PLANYUM USER AND SERVICE AGREEMENT

(Hereinafter referred to as "Planyum" or the "Service Provider.")

1.2. User: Any legal or natural person who registers on the Planyum platform (the "Platform"), uses the free trial, or purchases a paid subscription.

The subject of this Agreement is the User's access to and use of the B2B real estate CRM and operations management software (SaaS) provided by Planyum, and the determination of the parties' rights and obligations in that regard.

3.1. The User is solely responsible for the accuracy and lawfulness of the data registered on the Platform and for the security of account access credentials.

3.2. Planyum uses high-security encryption technologies to protect the system infrastructure. Data entered by Users on the Platform cannot be read, viewed, or shared by any third party—including Planyum officers or personnel—except where required by law or court order.

4.1. Payment Infrastructure: Planyum uses the internationally licensed Lemon Squeezy (Merchant of Record) infrastructure for payment processing. Billing is handled through Lemon Squeezy.

4.2. Trial and Refunds: The Platform may be tried free of charge for 14 days. If the User upgrades to a paid plan at the end of that period, the fee for the selected billing period (monthly/annual) is charged in advance. Given the nature of digital services and their immediate performance, amounts collected for paid plans are not subject to partial or full refund under any circumstances.

4.3. Cancellation and Continuity of Use: The User may cancel the subscription at any time to stop renewal. Cancellation does not immediately terminate the service; the User may continue to use the Platform until the end of the period already paid for. At the end of that period, the service is not renewed and access is suspended.

5.1. Data Processor Capacity: With respect to identity, passport, title deed imagery, and other personal/special-category data belonging to the User's own customers and uploaded to the Platform, the User is the "Data Controller" and Planyum is the "Data Processor." By uploading such data to Planyum, the User hereby accepts and undertakes that it has obtained the required legal approvals (explicit consent) from the data subjects under KVKK and GDPR.

5.2. Data Hosting and Third Parties: User data is stored in encrypted form on servers in Europe via the Supabase infrastructure, which meets high security standards. Planyum uses Vercel and Github for infrastructure services and Resend for communications operations.

5.3. Data Destruction and Retention Period: Before deleting an account, the User may at any time delete or export the data contained therein. If the User cancels the subscription but does not delete the data in the system, Planyum is entitled to retain User data passively in a secure environment for a maximum of 1 (one) year to allow for a possible return. At the end of one year, the data and its backups are permanently destroyed.

6.1. "As Is" Provision: Planyum provides the software on an "as is" basis. Planyum shall not be held liable for infrastructure outages, errors, or data loss arising from third-party infrastructure providers such as Vercel, Supabase, Github, Resend, or Lemon Squeezy, or from events beyond Planyum's control.

6.2. Waiver of Indirect Damages: Planyum is not legally liable for any indirect or consequential damages arising from use of the system or temporary inability to use it, including without limitation loss of profit, loss of commercial reputation, or missed opportunities (e.g., cancelled sales/rentals).

6.3. Liability Cap: Planyum's total financial liability under this Agreement shall under no circumstances exceed the total subscription fees actually paid by the User to Planyum during the 12 (twelve) months preceding the date on which the damage arose, regardless of the cause.

The Platform's source code, designs, algorithms, interface, and all intellectual property rights belong exclusively to Planyum (Mehmet Cem Uysal). Reverse engineering by the User, copying of the code, or use of the software architecture to develop a competing product is strictly prohibited and constitutes grounds for legal action.

Turkish law shall apply to the resolution of any dispute arising from this Agreement, and the Istanbul (Çağlayan) Courts and Enforcement Offices shall have exclusive jurisdiction.

By checking the relevant approval checkbox when registering on the Platform, or by commencing use of the Platform, the User declares that it has read, understood, and accepted all provisions of this Agreement in electronic form.
