PLANYUM SUBSCRIPTION AND COMMERCIAL SALES AGREEMENT

1.2. Buyer (User): Any corporate entity or individual using the paid or free subscription packages offered on the Planyum platform for business purposes (B2B User).

This agreement governs the terms of the User's subscription to the Planyum B2B real estate CRM platform, the fees to be paid, package contents, and the conditions under which Planyum may unilaterally make changes in line with its commercial strategies.

Planyum uses Lemon Squeezy as its authorized Merchant of Record (MoR) for international payment processing, billing, and tax (VAT, etc.) collection. During the purchasing process, financial collection is executed by Lemon Squeezy, and the User is deemed to have accepted Lemon Squeezy's terms of sale as well.

4.1. Dynamic Service Nature: Planyum is an evolving cloud (SaaS) software. Planyum reserves the right, at its sole discretion, to unilaterally change the contents, modules, data limits, and scope of services of the subscription packages at any time, in line with its commercial strategies.

4.2. Monetization of Free and Bonus Features: Any feature, module, integration, or user capacity provided by Planyum as "Free," "Beta," or as a "Bonus/Gift" for a certain period may, at Planyum's unilateral decision and at any time, be converted into a paid feature, limited, or completely disabled.

4.3. Immediate Effect: Any changes to features, modules, and limits shall immediately affect all existing and new system users directly from the moment they are deployed on the platform (unless announced otherwise). The User cannot claim any vested right (e.g., the right to continue using previously free features without charge).

4.4. Price Changes: Planyum has the right to change the fees of its subscription plans at any time. Potential price increases will take effect for existing active subscribers at the start of their "next" billing/renewal cycle. If the User does not accept the new pricing, they have the right to cancel their subscription before the renewal date.

Planyum is a digital service provided instantly for commercial and professional (B2B) use. Therefore, the "14-day unconditional right of withdrawal and refund" under Turkish Consumer Law and the European Union Consumer Rights Directive does not apply to this agreement. Under no circumstances will partial or full refunds be issued once a paid subscription is activated.

Any disputes arising from this agreement shall be governed by Turkish Law, and the Courts and Execution Offices of Istanbul shall have exclusive jurisdiction.
